Terms of Service

1. Who these terms apply to
These terms form a binding agreement between you ("you", "the customer") and Restruct web & apps ("we", "us", "SPALT"). By signing up for a SPALT account or using the service, you agree to these terms.
2. What SPALT is
SPALT is a project management application for anyone managing one or multiple projects. We provide the software as a service via the website at spalt.app.
3. Your account
- You must be at least 18 years old to create an account
- You're responsible for keeping your login credentials secure
- You may not share your account with others — each user needs their own seat
- You're responsible for what happens under your account
4. Subscription, trial, and billing
- We offer a 14-day free trial — no credit card required to start
- After the trial, continued use requires a paid subscription
- Subscriptions are billed monthly via Mollie
- Prices are shown in EUR and exclude VAT where applicable
- Seat counts determine your monthly price — adding seats during the month adjusts the next invoice
- You can cancel at any time from Settings → Billing; your paid period continues through its natural end, then the organization moves to a 30-day read-only grace period, then is deleted
- Invoices are retained for 7 years per Dutch tax law
5. Acceptable use
You agree not to use SPALT to:
- Violate any law or regulation
- Infringe anyone else's intellectual property rights
- Store or distribute illegal, defamatory, or harassing content
- Reverse-engineer, decompile, or disassemble the software
- Attempt to gain unauthorized access to other accounts or our infrastructure
- Use the service to send spam or unsolicited messages
- Run automated processes that degrade service for other users
We reserve the right to suspend or terminate accounts that violate these rules, with notice where reasonably possible.
6. Fair use
SPALT is priced as a flat-rate subscription with everything included. To keep this sustainable and fair for all users, the following fair-use limits apply:
- Storage: up to 5 GB of file attachments per organization. This covers project attachments, document uploads, images, and scribbles. If you approach or exceed this limit, we'll reach out to discuss options — we won't delete your data without warning.
- API usage: up to 1,000 API requests per hour per user. Normal product usage is well within this limit. Automated scripts or integrations that exceed it may be temporarily throttled.
- AI features: fair use of the AI assistant and voice transcription. We reserve the right to apply reasonable rate limits if usage significantly exceeds typical patterns (e.g. hundreds of AI requests per day).
- Inbound email (service desk): up to 500 inbound emails per project per month. This is designed for client communication, not bulk email processing.
- Export: one full data export per organization per 24 hours.
These limits are generous and designed to accommodate normal business use. If your needs exceed them, contact us — we're happy to discuss custom arrangements rather than block your workflow.
We may adjust these limits over time as the service evolves. Material changes will be communicated at least 30 days in advance.
7. Your content
- You retain ownership of everything you upload to SPALT — projects, items, documents, attachments, comments
- You grant us a limited license to store, process, and display your content for the sole purpose of providing the service
- You're responsible for ensuring you have the right to upload and share the content
- When you delete content, we delete it from our systems after the grace period (see Privacy Policy section 6)
8. AI features
When you use AI features, your content is transmitted to third-party AI providers (Anthropic, OpenAI). See the Privacy Policy for details. Use of AI features is governed by both these terms and the respective provider's terms.
9. Availability and support
- We aim for high availability but don't guarantee uninterrupted service
- Support is provided via email at support@spalt.app — response times depend on the plan and capacity
- We'll notify you of planned maintenance when possible
10. Changes to the service
- We may add, remove, or modify features
- Material changes that affect your usage will be announced in the app and via email
- If a change significantly reduces what you're paying for, we'll give you the option to cancel and receive a pro-rated refund for unused time
11. Termination
- You can terminate at any time via Settings → Billing → Danger Zone
- We can terminate your account for material breach of these terms, fraud, or non-payment, with notice where reasonably possible
- On termination, the grace period in section 4 applies
12. Liability
- SPALT is provided as is, without warranties of any kind
- To the maximum extent permitted by Dutch law, our total liability is limited to the amount you paid in the 12 months before the event giving rise to liability
- We're not liable for indirect, consequential, or incidental damages
- Nothing in these terms excludes liability that can't be excluded under Dutch law (e.g. for gross negligence or wilful misconduct)
13. Governing law and disputes
- These terms are governed by Dutch law
- Disputes are resolved by the courts of The Hague NL

14. Changes to these terms
We may update these terms. Material changes are announced at least 30 days in advance. Continuing to use SPALT after a change takes effect means you accept the new terms.
